Terms of Service

Article 1 (General Provisions)

These Terms of Service (hereinafter "Terms") set forth the conditions for the use of manabi (hereinafter "the Service"). The Service includes all services provided through the website "getmanabi.ai" (hereinafter "the Site").

The Service is a web application that uses AI technology (such as Google Gemini) to summarize YouTube videos and provide them as study notes.

Users shall use the Service upon agreeing to these Terms. If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including those on the free plan.

Article 2 (Definitions)

The following terms used in these Terms shall have the meanings set forth below.

  • 1."The Service" refers to the YouTube video AI summarization service "manabi" provided through the Site.
  • 2."User" refers to any individual who uses the Service upon agreeing to these Terms.
  • 3."Paid Plan" refers to the Pro, Premium, and Diamond plans.
  • 4."Generated Content" refers to summary notes, images, and other content generated by the User using the AI features of the Service.
  • 5."Knowledge Vault" refers to the knowledge library feature available to Diamond plan members that allows browsing Generated Content created by paid plan users.
  • 6."Referral Program" refers to the system by which Users can earn rewards by referring others to the Service using a dedicated referral code.

Article 3 (Account Registration and Management)

1. To use the Service, Users must create an account using Google OAuth authentication, Apple Sign In, or magic link authentication via email address.

2. Users shall register accurate and up-to-date information and shall promptly update such information in the event of any changes.

3. Users shall manage their accounts at their own responsibility and may not transfer, lend, or share their accounts with third parties.

4. All actions performed using a User's account shall be deemed to be the actions of that User.

5. The Service may suspend or delete an account without prior notice in any of the following cases:

  • Violation of these Terms
  • False information included in the registration details
  • Actions that interfere with the operation of the Service
  • Other cases where the Service reasonably deems it inappropriate

6. If a User wishes to delete their account, they may do so from the settings page on My Page or by contacting support@getmanabi.ai. After account deletion, the User's personal information will be handled appropriately in accordance with applicable data protection laws.

Article 4 (Service Content and Conditions of Use)

1. The Service provides a function to generate AI-powered video summary notes by entering a YouTube video URL.

2. The Service offers the following four plans. The features and limitations of each plan are as described on the pricing page and may be changed at the discretion of the Service.

3. The specific usage limits, types of content that can be generated, and other feature details for each plan are as described on the pricing page of the Site.

4. The Service operates in compliance with the YouTube Data API and YouTube's Terms of Service. Users also agree to the YouTube Terms of Service (https://www.youtube.com/t/terms) and the Google Privacy Policy (https://policies.google.com/privacy).

5. The AI image generation feature is provided using the fal.ai service. The Service does not guarantee the quality or content of generated images.

Article 5 (Fees and Payment)

1. Fees for paid plans are as set forth in Article 4. All displayed prices include applicable taxes.

2. Payment is processed via credit card through the payment system provided by Stripe, Inc. Users' credit card information is not stored on the Service's servers and is securely managed by Stripe.

3. Paid plans are available on a monthly or annual billing cycle. Annual billing includes a discount compared to monthly billing.

4. Auto-renewal: Paid plans automatically renew at the same plan and rate at the end of each billing period unless the User cancels. Monthly plans are charged on the same day each month, and annual plans on the same day each year.

5. Cancellation: Users may cancel (stop auto-renewal) from the settings page on My Page by the day before the next renewal date. After cancellation, the User may continue to use the paid plan features until the end of the current billing period.

6. Plan changes: Users may upgrade or downgrade their plan from My Page. Upgrades take effect immediately with the difference prorated. Downgrades take effect from the next renewal date.

7. Refund policy: Due to the nature of digital services, refunds after payment completion are generally not provided. However, exceptions apply in the following cases:

  • The Service is unavailable for an extended period (72 consecutive hours or more) due to a significant defect in the Service
  • Erroneous charges such as double billing occur due to the Service's error
  • A refund is required by applicable consumer protection laws

8. Refund requests must be submitted within 30 days of the billing date to support@getmanabi.ai.

Article 6 (Referral Program)

1. The Service may offer a Referral Program to Users on paid plans.

2. Details of the Referral Program, including the reward structure, payment conditions, and eligibility requirements, are as described on the rewards dashboard and in any separately established program terms.

3. The following actions constitute misuse of the Referral Program and may result in forfeiture of rewards and account suspension:

  • Obtaining rewards through self-referral
  • Referral activities using false information
  • Referrals involving spam or other nuisance activities
  • Creating fraudulent accounts for the purpose of earning referral rewards

4. The Service reserves the right to modify or terminate the Referral Program without prior notice.

Article 7 (Prohibited Activities)

Users shall not engage in any of the following activities when using the Service:

  • Actions that violate laws, regulations, or public order and morals
  • Actions that infringe on the copyrights, trademarks, privacy rights, or other rights of third parties
  • Using Generated Content in a manner that infringes on the rights of the original YouTube video creators
  • Publishing or selling Generated Content as if it were the User's original content
  • Intentionally creating or disseminating false information using the AI generation features of the Service
  • Placing excessive load on the Service's systems (e.g., scraping, unauthorized use of automation tools)
  • Actions that threaten the security of the Service (e.g., unauthorized access, reverse engineering)
  • Unauthorized use of another User's account
  • Copying, downloading, screen-capturing, or otherwise reproducing or repurposing content from the Knowledge Vault
  • Transferring or reselling usage rights to the Service to third parties
  • Any action that interferes with the operation of the Service
  • Activities related to antisocial forces
  • Any other actions that the Service reasonably deems inappropriate

Article 8 (Content Handling)

1. The usage rights to content generated by the User through the Service (such as summary notes) belong to the User. However, the copyright to the original YouTube video belongs to the rights holder of that video.

2. The User grants the Service a non-exclusive, royalty-free license to use Generated Content for the following purposes:

  • Provision, operation, and improvement of the Service
  • Making content available to other Diamond plan members through the Knowledge Vault feature
  • Improving the quality of the Service's AI models (used statistically in a non-personally identifiable manner)

3. Sharing in the Knowledge Vault: Content generated by paid plan (Pro / Premium / Diamond) Users is made available for viewing in the Knowledge Vault for Diamond plan members. Such content is view-only, and copying, downloading, and secondary use are technically restricted.

4. If a User wishes to make their Generated Content private and remove it from the Knowledge Vault, please contact support@getmanabi.ai. We will respond within 3 business days as a general rule.

5. Generated Content made public through the Service's sharing feature may be viewed by third parties who have the share URL. Users are responsible for managing their own sharing settings.

6. If the rights holder of the original YouTube video requests the removal of content, the Service will promptly delete the relevant content.

Article 9 (Intellectual Property Rights)

1. Intellectual property rights related to the Service and the Site (including but not limited to software, design, logos, trademarks, AI technology, and algorithms) belong to the Service or its rightful rights holders.

2. Users may not reproduce, modify, distribute, publicly transmit, or otherwise use the content or technology of the Service beyond the scope explicitly permitted by the Service.

3. The ownership of copyright in content generated by AI technology shall be determined in accordance with applicable copyright law. While Users may hold copyright in portions involving their creative contribution, Users acknowledge that legal discussions exist regarding the copyrightability of AI-generated portions.

4. Copyright in YouTube video content used by the Service belongs to the creators and rights holders of those videos. The Service handles content in compliance with the YouTube Data API Terms of Service.

Article 10 (Handling of Personal Information)

1. The Service handles Users' personal information appropriately in compliance with applicable data protection laws, including Japan's Act on the Protection of Personal Information (APPI) and, where applicable, the EU General Data Protection Regulation (GDPR).

2. The personal information collected by the Service includes:

  • Email address (used for account authentication)
  • Google/Apple account information (name, profile picture, etc., when using OAuth authentication)
  • Payment information (processed through Stripe, Inc. Credit card information is not stored on the Service's servers)
  • Service usage history (generated content, usage counts, etc.)
  • Access logs (IP address, browser information, etc.)

3. Personal information is used for the following purposes:

  • Provision, operation, and improvement of the Service
  • User authentication and account management
  • Billing and payment processing
  • Service-related notices and customer support
  • Usage analysis and statistics (using Google Analytics 4)
  • Prevention of fraudulent use

4. The Service will not provide personal information to third parties without the User's prior consent, except as required by law. However, personal information may be shared with the following service providers to the extent necessary for service delivery:

  • Supabase, Inc. (authentication and database infrastructure)
  • Stripe, Inc. (payment processing)
  • Google LLC (YouTube Data API, Google Analytics, OAuth authentication)
  • Apple Inc. (Sign in with Apple authentication)
  • fal.ai (AI image generation processing)
  • Vercel, Inc. (hosting)

5. Users have the right to request disclosure, correction, or deletion of their personal information under applicable data protection laws. Please contact support@getmanabi.ai for such requests.

Article 11 (Service Interruption, Modification, and Termination)

1. The Service may temporarily suspend all or part of the Service without prior notice in any of the following cases:

  • System maintenance, inspection, or updates
  • Natural disasters such as earthquakes, lightning, fire, or power outages that make operation difficult
  • Failures in the cloud services used (Supabase, Vercel, Stripe, etc.)
  • Changes in specifications, usage restrictions, or failures in the YouTube Data API
  • Failures or specification changes in AI-related services (Google Gemini, fal.ai, etc.)
  • Security issues
  • Other cases deemed operationally unavoidable

2. The Service may modify or terminate the Service with 30 days' prior notice to Users. However, this does not apply in cases of urgent and unavoidable circumstances.

3. In the event of service termination, reasonable measures such as refunds for unused periods shall be taken for Users on paid plans.

4. The Service shall not be liable for any damages incurred by Users due to service interruption, modification, or termination, except in cases of willful misconduct or gross negligence on the part of the Service.

Article 12 (Disclaimers)

1. Accuracy of AI-generated content: Summary notes and other content generated by the Service are automatically produced using AI technology (such as Google Gemini). The Service does not guarantee their accuracy, completeness, currency, or usefulness. Users should use Generated Content as reference information and verify important decisions with original videos and reliable sources.

2. YouTube API limitations: The Service uses the YouTube Data API to obtain video information. Some videos may not be summarizable, or certain features may be unavailable due to YouTube specification changes, usage restrictions, or outages.

3. AI image generation: Images generated by the AI image generation feature are automatically produced, and the Service does not guarantee their content, quality, or accuracy.

4. Third-party services: The Service depends on third-party services such as Supabase, Stripe, Vercel, Google, and fal.ai. The Service shall not be liable for damages caused to Users by failures, specification changes, or termination of these third-party services, except in cases of willful misconduct or gross negligence on the part of the Service.

5. Disputes between Users: The Service is not responsible for disputes between Users, including those related to content viewing in the Knowledge Vault.

6. The provisions of the preceding paragraphs shall not apply to the extent that the Service's liability cannot be exempted under applicable consumer protection laws or other mandatory provisions.

Article 13 (Limitation of Liability)

1. In the event that the User suffers damages due to the willful misconduct or gross negligence of the Service in connection with the use of the Service, the Service shall be liable only for direct and ordinary damages actually incurred by the User.

2. The amount of damages under the preceding paragraph shall be limited to the amount of fees paid by the User to the Service in the month in which the event causing the damages occurred. However, this limitation does not apply in cases of willful misconduct or gross negligence by the Service, or where applicable consumer protection laws provide otherwise.

3. If a User causes damages to the Service or a third party in violation of these Terms, the User shall compensate for such damages at their own expense and responsibility.

Article 14 (Amendments to the Terms)

1. The Service may amend these Terms without obtaining the individual consent of Users in any of the following cases:

  • The amendment serves the general interest of Users
  • The amendment does not conflict with the purpose of the agreement and is reasonable in light of the necessity of the change, the appropriateness of the amended content, and other relevant circumstances

2. When amending these Terms, the Service shall publicize the amended Terms and their effective date by posting on the Site or other appropriate means a reasonable period in advance (in principle, at least 14 days prior).

3. If a User uses the Service on or after the effective date of the amended Terms, the User shall be deemed to have agreed to the amended Terms.

4. For changes that significantly affect Users, such as fee increases, notice shall be given at least 30 days before the effective date.

Article 15 (Exclusion of Antisocial Forces)

1. Users represent and warrant that they are not, and will not in the future be, members of organized crime groups, associates of organized crime groups, or any other antisocial forces.

2. If a User is found to be associated with antisocial forces, the Service may immediately suspend or delete the User's account and refuse use of the Service without prior notice.

Article 16 (Severability)

If any provision or part thereof of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions and parts of these Terms shall continue to be in full force and effect.

Article 17 (Governing Law and Jurisdiction)

1. The interpretation and application of these Terms shall be governed by the laws of Japan.

2. Any and all disputes arising out of or in connection with these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance. However, where applicable consumer protection laws provide otherwise, jurisdiction may also be recognized in the courts having jurisdiction over the User's place of residence.
